These Terms of Service (“Terms”) form a binding agreement between Codela LTD, a company incorporated in England and Wales (“Codela,” “we,” “us,” or “our”), and you, the end user (“you,” “your,” or the “User”). They govern your access to and use of the eSIMer mobile applications and the eSIMer.io website, along with related features, services, and interfaces (collectively, the “Platform”).
By creating an account, accessing the Platform, using our services, or clicking “Agree,” you confirm that you have read, understood, and accept these Terms. If you do not agree, do not access or use the Platform or services.
1) Who May Use eSIMer?
You must be at least 18 years old and have the legal capacity to enter into these Terms.
You are responsible for complying with the laws and regulations of your country/region. We do not guarantee that the Platform or any service is lawful or available in your jurisdiction. You access at your own initiative and risk.
2) Our Services
eSIMer enables you to purchase, download, activate, and manage prepaid mobile data plans delivered via embedded SIM (eSIM) technology. Plans may be offered by Codela or by authorised third-party carriers and service partners.
Key points:
The Platform provides tools to view and manage active eSIMs, monitor data usage, renew subscriptions or buy top-ups, and manage account settings.
We may deliver automatic updates (e.g., fixes, improvements, new features). By using the Platform, you consent to receiving and installing these updates.
The services are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted availability, specific performance, or that the services meet your requirements.
Voice and SMS messaging are not provided. Network availability, performance, and coverage are not guaranteed and may vary by location, carrier, and device.
3) Devices, Compatibility & Your Responsibilities
To use eSIMer you need:
A carrier-unlocked device that supports eSIM;
A stable internet connection; and
A valid payment method.
You are solely responsible for verifying compatibility before purchase, installing/activating the eSIM profile, and ensuring your device remains unlocked and supported. We are not liable for activation failures, device restrictions, or provisioning issues caused by third parties.
4) Account Registration & Security
You may need an account to access parts of the Platform. You agree to:
Provide accurate, current, and complete information and keep it updated;
Keep your passwords/OTPs secure and notify us promptly of unauthorised access;
Receive service and account-related communications (e.g., alerts, notices) to the contact details you provide.
We may deny, suspend, or revoke account access at our discretion, including for risk or compliance reasons.
5) Plans, Pricing & Payment
We may offer different purchase models (availability may vary by region):
Pay As You Go: Usage is billed per GB or other unit, deducted in real-time.
Prepaid Package: Fixed data allowance and validity; full fee charged on purchase.
Recurring Subscription: Billed per cycle (e.g., weekly, monthly, annually) with auto-renewal unless cancelled per Section 6.
All transactions are processed via your selected payment method. Pricing, taxes, and availability may vary by jurisdiction and can change prior to purchase. A full cost breakdown (including applicable VAT/indirect taxes) is shown at checkout.
We may provide a stored-value wallet within your account (the “eSIMer Balance”) to facilitate transactions. Where you pay through third-party platforms (e.g., app stores or external payment providers), their terms apply and billing records will be available in your third-party account.
We do not store full payment credentials; payments are processed by licensed payment service providers. When plans are supplied by third-party carriers or content providers, Codela acts solely as a technical intermediary. Your contract for connectivity is with the third-party provider; we are not responsible for their performance.
6) Trials, Renewals, Cancellations & Refunds
Trials (if offered) are time-limited and subject to eligibility criteria set by us. To avoid charges after a trial, cancel before it ends.
Subscriptions renew automatically at the then-current price. Cancel at any time via your account or the relevant app store tools; cancellation takes effect at the end of the current term (no prorated refunds).
Refunds:
For purchases made directly on eSIMer.io or via an approved non-store method, sales are final once the eSIM is provisioned. Except where required by law, we do not refund unused data, expired plans, or partial billing periods.
Purchases made via Apple App Store or Google Play are subject to those platforms’ refund policies only.
We will notify you in advance of any subscription price increases. Continued use after the effective date constitutes acceptance; cancel beforehand if you do not agree.
7) Amendments & Service Changes
We may modify the Platform, features, pricing, and these Terms from time to time. Material changes will be communicated via the Platform and/or email. The latest version posted on eSIMer.io applies. We may suspend or discontinue any service in whole or in part at our discretion.
8) Acceptable Use & Prohibited Conduct
The Platform is provided for personal, non-commercial use (unless we approve otherwise in writing). You must not:
Violate any applicable law or regulation;
Use the services for unlawful, abusive, fraudulent, or unauthorised purposes (including illegal gambling, money laundering, or sanctions violations);
Interfere with the Platform’s operation or other users’ access;
Access or attempt to access accounts, systems, data, or content you are not authorised to access;
Reverse-engineer, decompile, or attempt to extract source code;
Use bots, scrapers, or other automated tools that impose an unreasonable load on our infrastructure;
Harvest data or systematically retrieve content to create a database or directory;
Circumvent technical controls or security features;
Create, sell, or manipulate promotions, credits, or referrals by using fake or duplicate identities;
Develop, market, or integrate third-party applications with our services without our written permission.
Breaches may result in suspension or termination of your account and services, and you may be liable for damages.
9) Privacy & Data
Our handling of personal data is described in our Privacy Policy available on eSIMer.io. By using the Platform, you consent to our processing activities consistent with applicable law. We may use aggregated and/or anonymised information for analytics and reporting.
Data security: While we apply appropriate safeguards, you acknowledge that internet transmission and storage carry inherent risks. Maintain independent backups of critical information.
10) Third-Party Providers & Content
The Platform may link to or rely on third-party websites, applications, carriers, or content. We do not control or endorse third-party materials and are not responsible for their availability, accuracy, or policies. Your dealings with third parties are at your own risk and subject to their terms.
11) Risk Disclosure
Service performance can be affected by network congestion, outages, maintenance, carrier restrictions, or regulatory changes. eSIM activation, recharge, or use may occasionally be delayed or unavailable. Partnerships or carrier terms may change, impacting access to eSIM services. You acknowledge these risks and accept that continuous, error-free service is not guaranteed.
12) Your Obligations
You agree to:
Use the services in accordance with these Terms.
Provide accurate information and keep it current.
Keep your credentials confidential and accept responsibility for all activity under your account.
Comply with the laws of your home country, your country of residence, and the country where you use the services.
Use the services for personal consumption only and refrain from actions that impair networks or other users’ experience.
Indemnify Codela for any losses arising from your unlawful or prohibited use (see Section 13).
13) Indemnification
You will defend, indemnify, and hold harmless Codela, its affiliates, and their officers, directors, employees, agents, partners, and licensors from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your use or misuse of the services; (c) your violation of law or third-party rights; (d) your negligent or wilful misconduct; or (e) automated scraping or similar actions that burden the Platform.
We may assume control of the defence at your expense; no settlement imposing obligations on us may be made without our prior written consent.
14) Intellectual Property
All rights in and to the Platform, including text, graphics, software, interfaces, designs, trademarks, logos, and other content (“eSIMer IP”), are owned by or licensed to Codela and protected by intellectual property laws. Except for limited rights to access and use the Platform under these Terms, no licence is granted.
Unauthorised linking, framing, copying, distributing, or creating derivative works is prohibited. Any API or integration requires a separate written licence.
15) Disclaimers
YOUR USE OF THE PLATFORM AND SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT COMPATIBILITY WITH ANY DEVICE OR NETWORK, OR THAT THE PLATFORM IS FREE FROM MALWARE OR OTHER HARMFUL COMPONENTS.
We are not responsible for third-party content, applications, services, or actions, and we do not guarantee data security over the internet.
If any warranty cannot be disclaimed under applicable law, it is limited to the shortest period permitted by law.
16) Limitation of Liability
To the maximum extent permitted by law, Codela and its affiliates shall not be liable for any indirect, incidental, special, punitive, or consequential damages (including lost profits, lost data, business interruption, or loss of goodwill).
Our total aggregate liability for all claims relating to the services or these Terms will not exceed the greater of:
(a) the fees you actually paid to Codela for the specific service giving rise to the claim in the one (1) month preceding the event, or
(b) five hundred US dollars (USD 500).
These limitations do not exclude liability that cannot be limited by law (e.g., death or personal injury caused by negligence, fraud, or wilful misconduct).
17) Suspension, Termination & Survival
We may modify, suspend, or terminate any part of the Platform or your account at any time and without liability, including where continued operation is not commercially viable or where we identify risk or violations. You may terminate by closing your account and removing the apps. Upon termination, your rights under these Terms end and you must cease use.
Sections that by their nature should survive (e.g., IP, disclaimers, limitations, governing law) will survive termination.
18) International Availability
Features and plan availability may vary by country and language. We may restrict access to any user or geography at any time.
19) Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, acts of government, war, civil unrest, labour disputes, power or internet failures, or third-party service disruptions.
20) Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the services.
21) Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign or transfer our rights and obligations at any time without your consent.
22) Severability; Waiver; Entire Agreement
If any provision is found invalid or unenforceable, the remaining provisions remain in full force, and the affected provision will be modified to reflect the parties’ intent as closely as possible.
A failure or delay to exercise any right does not operate as a waiver.
These Terms, together with any incorporated policies, constitute the entire agreement between you and Codela regarding the Platform.
